GENERAL TERMS AND CONDITIONS OF SALE — SEEDAFRIKA SUARL

Premium Fruits & Vegetables Exporter from West Africa

PREAMBLE

These General Terms and Conditions of Sale (GTC) govern all commercial relationships between Seedafrika Suarl, a Senegalese-Spanish company specializing in sourcing and exporting premium fruits and vegetables from West Africa, registered at Cité des Impôts et Domaines n° 192, Pattes d’Oie, CP: 11500 Dakar, Senegal, and its professional clients (importers, wholesalers, distributors). Any order placed with Seedafrika Suarl implies full and unconditional acceptance of these GTC.

ARTICLE 1 — PRODUCTS

Seedafrika Suarl offers a range of fresh fruits and vegetables for export, carefully selected according to strict quality standards tailored to European and international markets.

Product descriptions, photographs and technical data sheets on our website and catalogue are provided for information purposes only and are non-contractual. Seedafrika Suarl reserves the right to modify specifications based on seasonal product availability.

ARTICLE 2 — ORDERS

2.1 Order Process
Orders can be placed by email, WhatsApp Business or via our website www.seedafrikasuarl.com.

2.2 Validation
Any order becomes firm and final after a proforma invoice has been issued and accepted by both parties.

2.3 Modification and Cancellation
Any request for modification or cancellation must be made in writing before preparation of the goods begins. After this point, cancellation fees may apply.

ARTICLE 3 — PRICING AND PAYMENT

3.1 Pricing
Prices are expressed in USD or EUR according to the agreed Incoterm and may vary depending on market conditions, order volume and production season.

3.2 Payment Terms
Payment is made as follows: 50% upon order confirmation, and 50% against shipping documents. Payment is made by international bank transfer.

3.3 New Clients
Seedafrika Suarl reserves the right to require full payment in advance for new clients or high-risk destinations.

3.4 Late Payments
Any late payment will result in the suspension of the order and may give rise to late payment penalties at a rate of 1.5% per month on the amount due.

ARTICLE 4 — DELIVERY AND LOGISTICS

4.1 Delivery Times
Delivery times are given as an indication and depend on production cycles, logistics availability and phytosanitary processing times.

4.2 Transfer of Risk
In accordance with Incoterms 2020: FOB Dakar for sea shipments, FCA Dakar for air shipments. From the agreed point, the client bears all risks of loss or damage.

4.3 Documentation
Seedafrika Suarl provides the following export documents: commercial invoice, packing list, certificate of origin, phytosanitary certificate, bill of lading or airway bill.

ARTICLE 5 — QUALITY AND CLAIMS

5.1 Quality Standards
Seedafrika Suarl guarantees that all products delivered conform to the specifications agreed in the proforma invoice.

5.2 Inspection
The client is strongly encouraged to arrange pre-shipment inspection by an independent third party (SGS, Bureau Veritas, etc.).

5.3 Claims
Any claim relating to quality or quantity must be submitted in writing within 48 hours of receipt of goods, accompanied by photographic evidence.

ARTICLE 6 — FORCE MAJEURE

Seedafrika Suarl shall not be held liable for any failure or delay resulting from circumstances beyond its control, including: natural disasters, strikes, government restrictions, pandemics, port closures or extreme weather conditions.

ARTICLE 7 — GOVERNING LAW AND JURISDICTION

These GTC are governed by Senegalese law. In the event of a dispute, the parties agree to seek an amicable solution. Failing that, the Commercial Court of Dakar shall have sole jurisdiction. For clients based in Europe, the Commercial Court of Madrid shall have jurisdiction.

ARTICLE 8 — ACCEPTANCE OF GTC

By placing an order with Seedafrika Suarl, the client acknowledges having read these GTC and accepts them without reservation.
